Memorandum of Understanding detailing the formation of a multi-phased
partnership. The companies anticipate completion of a definitive agreement
within 60 days. Under terms of the Memorandum of Understanding, PROMIS
Solutions immediately becomes an authorized global reseller of CogniViz while
the companies finalize details for embedding the CogniViz software into
PROMIS' EVA Netmodeler offerings.
